1. Agreement to Terms

These Terms and Conditions ("Terms") constitute a legally binding agreement between you ("Customer," "you," or "your") and Afrocon ("Company," "we," "us," or "our"). By using our website, requesting quotes, or engaging our logistics services, you acknowledge that you have read, understood, and agree to be bound by all terms and conditions contained herein.

2. Service Description

Afrocon provides integrated logistics solutions including freight transportation, warehousing, distribution, customs clearance, and e-commerce fulfillment services. Our services are provided on an as-needed basis and subject to the specific terms outlined in individual service agreements or quotes.

The Company reserves the right to refuse service to any customer or shipment that does not comply with applicable laws, regulations, or industry standards.

3. Eligibility

By using our services, you represent and warrant that:

  • You are at least 18 years of age or the legal age of majority in your jurisdiction
  • You have the authority to enter into binding agreements
  • You will not use our services for any illegal or unauthorized purpose
  • All information you provide is accurate, current, and complete
  • You comply with all applicable laws and regulations

4. Prohibited Items and Substances

Customers acknowledge and agree that the following items cannot be transported, stored, or handled by Afrocon:

  • Illegal drugs, controlled substances, or narcotics
  • Weapons, explosives, or hazardous materials (without proper documentation)
  • Stolen goods or items of questionable origin
  • Items that violate export or import regulations
  • Counterfeit or pirated goods
  • Perishable items without proper refrigeration arrangements
  • Live animals without appropriate authorization and documentation
  • Any items prohibited by law or regulation

5. Liability and Limitations

5.1 Limitation of Liability

Except as provided by law, Afrocon's liability for any claim arising from our services shall be limited to the shipping charges paid or payable by the customer for the specific shipment in question. In no event shall the Company be liable for indirect, incidental, consequential, special, or punitive damages.

5.2 Assumption of Risk

The customer assumes all risk of loss or damage to shipments from the moment they are tendered to Afrocon until delivery to the consignee. We recommend obtaining cargo insurance for high-value shipments.

5.3 Force Majeure

Afrocon shall not be liable for any failure to perform services due to unforeseen circumstances including natural disasters, wars, pandemics, government actions, or other events beyond our reasonable control.

6. Payment Terms

Payment terms are as specified in the individual service agreement or quote provided by Afrocon. Unless otherwise agreed in writing:

  • Invoices are due within 30 days of service completion or invoice date
  • Late payments incur a 1.5% monthly interest charge
  • Customers are responsible for all currency conversion fees
  • The Company reserves the right to suspend services for non-payment
  • Additional handling fees may apply for special requirements

7. Documentation and Information

Customers are responsible for providing complete, accurate, and proper documentation including:

  • Commercial invoices and packing lists
  • Export/import licenses where required
  • Certificates of origin
  • Insurance certificates (if applicable)
  • Hazmat declarations and safety documentation
  • Accurate description of goods and values

Incomplete or inaccurate documentation may result in delays, penalties, or shipment rejection. Customers shall indemnify Afrocon against any fines or penalties resulting from incorrect documentation.

8. Delivery and Delays

While we strive to meet all delivery dates, Afrocon does not guarantee specific delivery dates unless expressly stated in a service agreement. Delays may occur due to:

  • Customs clearance procedures
  • Weather conditions or natural disasters
  • Transportation delays beyond our control
  • Incomplete or inaccurate documentation
  • Strikes or labor actions
  • Regulatory changes or compliance requirements

9. Insurance

Afrocon maintains comprehensive liability insurance. However, coverage is limited and may not full cover all losses. We strongly recommend customers obtain their own cargo insurance for valuable shipments. The Company is not responsible for losses exceeding declared value or coverage limits.

10. Indemnification

Customers agree to indemnify and hold harmless Afrocon from any claims, losses, damages, or liabilities arising from: (a) the nature or condition of shipped goods, (b) inaccurate or incomplete information provided by the customer, (c) violation of applicable laws or regulations, or (d) the customer's misuse of our services.

11. Intellectual Property

All content on our website, including logos, text, graphics, and images, are the exclusive property of Afrocon or its licensors. You may not reproduce, distribute, or transmit any content without written permission from the Company.

12. Website Use

Users agree not to:

  • Engage in any form of hacking or unauthorized access
  • Transmit viruses, malware, or harmful code
  • Collect data without authorization
  • Engage in spam, harassment, or abusive behavior
  • Violate any applicable laws or regulations
  • Compromise website security or functionality

13. Disclaimer of Warranties

Afrocon PROVIDES SERVICES ON AN "AS-IS" AND "AS AVAILABLE" BASIS. THE COMPANY MAKES NO WARRANTIES, EXPRESS OR IMPLIED, REGARDING THE QUALITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT OF OUR SERVICES. TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE COMPANY DISCLAIMS ALL WARRANTIES AND CONDITIONS.

14. Dispute Resolution

Any disputes arising from these Terms or our services shall be governed by the laws of Ontario, Canada. Customers agree to submit to the exclusive jurisdiction of the courts located in Mississauga, Ontario.

Before initiating legal proceedings, parties agree to attempt good-faith negotiation and mediation to resolve disputes.

15. Changes to Terms

Afrocon reserves the right to modify these Terms at any time. Changes are effective when posted to our website. Your continued use of our services after changes constitutes acceptance of the updated terms. We recommend reviewing this document periodically.
